TERMS AND CONDITIONS<\/strong><\/p>

Last Updated: 30 October 2025<\/p>

These Terms and Conditions govern the use of the website and Pay-Per-Lead (PPL) services provided by Ads and Ventures Pty Ltd, ABN 92 647 861 318, trading as Ads Daddy (hereinafter referred to as \u201cAds Daddy\u201d, \u201cwe\u201d, \u201cus\u201d or \u201cthe Supplier\u201d). By accessing our website or purchasing our services, you (hereinafter referred to as \u201cthe Buyer\u201d or \u201cyou\u201d) agree to be legally bound by these Terms and Conditions. If you do not accept these terms, you must not use this website or our services.<\/span><\/p>

These Terms apply in addition to any other agreement entered into between the parties and are governed by the laws of Queensland, Australia.<\/span><\/p>

1. PAY-PER-LEAD SERVICE TERMS<\/b><\/h2>

1.1 <\/b>Ads Daddy provides exclusive, high-intent finance leads to businesses under a Pay-Per-Lead (PPL) model across the following lead categories: car loan, personal loan, debt consolidation, business loan, property debt consolidation, first home buyer, refinance, investment property, and self-managed super fund (SMSF) property leads.<\/span><\/p>

1.2 <\/b>A \u201cQualified Lead\u201d means a lead that satisfies both the Common Qualification Criteria set out in clause 1.3 and the Vertical-Specific Qualification Criteria applicable to the relevant campaign type set out in clause 1.4.<\/span><\/p>

1.3 Common Qualification Criteria<\/b><\/p>

To qualify, every lead must:<\/span><\/p>

(a) provide their full legal name;<\/span><\/p>

(b) supply a valid Australian phone number, verified by SMS;<\/span><\/p>

(c) supply a valid and functional email address;<\/span><\/p>

(d) be at least 18 years of age;<\/span><\/p>

(e) be located in Australia;<\/span><\/p>

(f) be delivered exclusively to the Buyer and within 48 hours of submission, and be no older than 24 hours at the time of delivery; and<\/span><\/p>

(g) not have unsubscribed prior to delivery.<\/span><\/p>

A lead shall not qualify if any contact information is fake or invalid, if the lead was submitted by a bot or unauthorised third party, if the lead intent is unrelated to finance, or if the lead is located outside Australia.<\/span><\/p>

1.4 Vertical-Specific Qualification Criteria<\/b><\/p>

In addition to the Common Qualification Criteria in clause 1.3, the following criteria apply by lead category.<\/span><\/p>

(a) Consumer Finance Leads (Car Loan, Personal Loan, Debt Consolidation)<\/b><\/p>

The lead must:<\/span><\/p>

(i) actively express interest in obtaining car finance, a personal loan, or debt consolidation;<\/span><\/p>

(ii) select a loan purpose such as a new or used vehicle, motorcycle, boat, caravan, refinancing, debt consolidation, or general personal use;<\/span><\/p>

(iii) declare employment or self-employment; and<\/span><\/p>

(iv) declare a monthly income of AUD $3,000 or more if such information is requested.<\/span><\/p>

A lead shall not qualify if it declares bankruptcy or current debt management where such data is collected.<\/span><\/p>

(b) Commercial Finance Leads (Business Loan, ABN-Holder, Equipment, Working Capital, Invoice and Asset Finance)<\/b><\/p>

The lead must:<\/span><\/p>

(i) voluntarily complete an ABN or business name field;<\/span><\/p>

(ii) express commercial finance intent including business-use vehicle finance, machinery or equipment loans, working capital, invoice or asset finance, or ABN-holder loans for sole traders;<\/span><\/p>

(iii) specify a loan purpose and\/or indicative loan amount;<\/span><\/p>

(iv) declare they are self-employed or an ABN holder;<\/span><\/p>

(v) declare a loan amount of AUD $10,000 or greater; and<\/span><\/p>

(vi) not have been previously delivered to the same Buyer within 30 days.<\/span><\/p>

A lead shall not qualify if the loan intent is clearly consumer-only.<\/span><\/p>

Note: <\/i><\/b>Ads Daddy does not verify the validity or accuracy of ABNs provided by leads. The absence or inaccuracy of an ABN does not disqualify a lead if other conditions are met.<\/span><\/i><\/p>

(c) Residential Property Finance Leads (Property Debt Consolidation, First Home Buyer, First Home Buyer Exclusive, Refinance, Investment Property)<\/b><\/p>

The lead must:<\/span><\/p>

(i) actively express interest in a residential mortgage product, including property purchase, refinance, equity release, debt consolidation against property, or investment property finance;<\/span><\/p>

(ii) specify the relevant intent type (first home purchase, refinance, equity release, debt consolidation, or investment);<\/span><\/p>

(iii) declare an indicative loan amount and\/or property value;<\/span><\/p>

(iv) for First Home Buyer leads, declare deposit availability and current employment status;<\/span><\/p>

(v) for Investment Property and Property Debt Consolidation leads, declare current property ownership status; and<\/span><\/p>

(vi) not have been previously delivered to the same Buyer within 30 days.<\/span><\/p>

Note: <\/i><\/b>Ads Daddy does not verify the accuracy of declared property ownership, property value, equity position, or income. The accuracy of such declarations does not affect the qualification of a lead provided the other conditions in this clause and clause 1.3 are met.<\/span><\/i><\/p>

(d) SMSF Property Finance Leads<\/b><\/p>

The lead must:<\/span><\/p>

(i) actively express interest in purchasing property through a self-managed superannuation fund (SMSF);<\/span><\/p>

(ii) declare an existing SMSF or a clear intent to establish one;<\/span><\/p>

(iii) declare an SMSF balance of AUD $200,000 or greater where such data is collected;<\/span><\/p>

(iv) provide an indicative property purchase amount; and<\/span><\/p>

(v) not have been previously delivered to the same Buyer within 30 days.<\/span><\/p>

Note: <\/i><\/b>Ads Daddy does not verify the validity or accuracy of SMSF declarations or fund balances. The absence or inaccuracy of such information does not disqualify a lead if other conditions are met.<\/span><\/i><\/p>

1.5 Replacement Policy<\/b><\/p>

A lead is eligible for replacement if:<\/span><\/p>

(a) contact information is non-functional;<\/span><\/p>

(b) it is a duplicate within the same campaign within 30 days;<\/span><\/p>

(c) it falls outside the agreed campaign scope; or<\/span><\/p>

(d) it materially fails to meet the relevant Vertical-Specific Qualification Criteria in clause 1.4.<\/span><\/p>

A lead is not eligible for replacement if:<\/span><\/p>

(a) the contact is unresponsive, uninterested, or disqualified by the Buyer;<\/span><\/p>

(b) the Buyer fails to follow up within 48 hours;<\/span><\/p>

(c) conversion fails due to Buyer-side sales, pricing, or timing issues;<\/span><\/p>

(d) an ABN is invalid or not registered;<\/span><\/p>

(e) declared property ownership, property value, equity position, income, or SMSF balance later proves inaccurate; or<\/span><\/p>

(f) the lead does not proceed to settlement, drawdown, or any other commercial outcome.<\/span><\/p>

All replacement requests must be submitted within 48 hours of delivery. If approved, replacements will be delivered within a further 48 hours.<\/span><\/p>

1.6 Lead Volume Disclaimer<\/b><\/p>

While Ads and Ventures Pty Ltd uses best efforts, proven systems, and paid advertising to meet the agreed number of leads, the Buyer acknowledges that lead generation volumes depend on multiple external factors, including but not limited to advertising platform performance, market conditions, budget constraints, and lead availability.<\/span><\/p>

The Supplier makes no guarantee that the full number of leads ordered will be delivered within a specific timeframe or at all. In the event the full volume cannot be generated within a reasonable period (as defined by mutual written agreement), the Buyer may elect to:<\/span><\/p>

(a) Extend the campaign timeline to allow continued generation until the full lead quota is met; or<\/span><\/p>

(b) Accept a partial delivery of leads, in which case any unspent advertising budget may be credited toward a future campaign, at the Supplier\u2019s discretion.<\/span><\/p>

No refunds shall be issued for any undelivered portion of a lead order unless otherwise agreed in writing. The Supplier shall not be liable for delay or under-delivery due to platform restrictions, cost increases, account bans, market fluctuations, or force majeure.<\/span><\/p>

2. PAYMENT TERMS<\/b><\/h2>

2.1 <\/b>All payments must be made in full and in advance of campaign activation.<\/span><\/p>

2.2 Refund Policy: <\/b>No refunds are available under any circumstances. All payments are final, non-refundable, and non-transferable under any circumstances. Upon receipt of payment, Ads and Ventures Pty Ltd immediately allocates resources, advertising budget, and operational working capital toward campaign execution and lead generation. Accordingly, the Buyer acknowledges and agrees that no refund shall be available, including but not limited to: change of mind, lack of lead conversion, disqualification of leads by the Buyer, platform disruptions, or early termination of the campaign. This refund policy applies regardless of lead performance outcomes or internal sales processes of the Buyer.<\/span><\/p>

2.3 <\/b>Additional lead batches may be ordered after the initial batch is completed.<\/span><\/p>

2.4 <\/b>Non-payment or delayed payment may result in immediate suspension of service without prior notice.<\/span><\/p>

3. BUYER RESPONSIBILITIES<\/b><\/h2>

3.1 <\/b>The Buyer must follow up with leads within 48 hours of delivery.<\/span><\/p>

3.2 <\/b>The Buyer must not resell, distribute, or share leads.<\/span><\/p>

3.3 <\/b>The Buyer must maintain accurate CRM records for lead status.<\/span><\/p>

3.4 <\/b>The Buyer agrees to cooperate with Ads Daddy regarding campaign optimisation and reporting.<\/span><\/p>

3.5 <\/b>The Buyer must hold all licences, registrations, and authorisations required to deal with leads in the relevant lead category, including (where applicable) Australian Credit Licence (ACL) authorisation, Australian Financial Services Licence (AFSL) authorisation for SMSF property advice, and membership of an external dispute resolution scheme such as AFCA.<\/span><\/p>

4. EXCLUSIVITY<\/b><\/h2>

4.1 <\/b>All leads are exclusive to the Buyer for a minimum of 30 days from the date of delivery.<\/span><\/p>

4.2 <\/b>The Supplier does not resell, recycle, or redistribute leads within that exclusivity window.<\/span><\/p>

4.3 <\/b>The Supplier may use anonymised, aggregated data for internal analytics or optimisation.<\/span><\/p>

5. DATA PRIVACY AND COMPLIANCE<\/b><\/h2>

5.1 <\/b>Ads Daddy collects and processes all data in accordance with the Privacy Act 1988 (Cth).<\/span><\/p>

5.2 <\/b>The Buyer must use lead data in accordance with all privacy and spam regulations and only within the scope for which consent was obtained.<\/span><\/p>

5.3 <\/b>The Buyer is responsible for compliance with the Spam Act 2003 (Cth), the Do Not Call Register Act 2006 (Cth), and any other applicable consumer protection or financial services regulation when contacting leads.<\/span><\/p>

6. INTELLECTUAL PROPERTY<\/b><\/h2>

6.1 <\/b>All intellectual property, systems, creative, ad accounts, and funnels remain the sole property of Ads and Ventures Pty Ltd.<\/span><\/p>

6.2 <\/b>The Buyer is granted a non-transferable licence to use the leads for their own internal business purposes only.<\/span><\/p>

7. LIMITATION OF LIABILITY<\/b><\/h2>

7.1 <\/b>The Supplier shall not be liable for:<\/span><\/p>

(a) loss of profits, revenue, or goodwill;<\/span><\/p>

(b) failure to convert leads;<\/span><\/p>

(c) disruptions caused by platform bans, outages, or third-party restrictions; or<\/span><\/p>

(d) the accuracy or outcome of any declaration made by a lead, including declared income, employment, property ownership, equity position, ABN status, or SMSF balance.<\/span><\/p>

7.2 <\/b>Liability is strictly limited to the value of the affected leads paid for by the Buyer.<\/span><\/p>

8. DISPUTES AND JURISDICTION<\/b><\/h2>

8.1 <\/b>Any disputes arising under or in connection with these Terms shall first be addressed through good faith negotiation.<\/span><\/p>

8.2 <\/b>Failing resolution, the matter shall proceed to mediation in Queensland, Australia, prior to court proceedings.<\/span><\/p>

8.3 <\/b>These Terms are governed by the laws of Queensland, Australia. The Buyer submits to the exclusive jurisdiction of Queensland courts.<\/span><\/p>

9. FORCE MAJEURE<\/b><\/h2>

9.1 <\/b>The Supplier shall not be held liable for delays or failures in performance due to events beyond its control, including but not limited to internet or system outages, third-party platform restrictions, changes in law, or acts of God.<\/span><\/p>

10. WEBSITE USE<\/b><\/h2>

10.1 <\/b>By using our website, you agree to be bound by the following conditions:<\/span><\/p>

(a) You must comply with applicable Australian law including the Competition and Consumer Act 2010 (Cth), the Copyright Act 1968 (Cth), and the Trade Marks Act 1995 (Cth).<\/span><\/p>

(b) You may not copy, reproduce, modify, distribute, or use website content for commercial purposes.<\/span><\/p>

(c) You may not attempt to reverse-engineer, scrape, or exploit any part of the site.<\/span><\/p>

(d) You may not link to or represent our website in a way that implies partnership or endorsement.<\/span><\/p>

10.2 <\/b>All website content is provided \u201cas is\u201d without warranties. The Supplier makes no guarantees regarding accuracy, completeness, or fitness for purpose.<\/span><\/p>

10.3 <\/b>The Supplier is not responsible for the content or security of any third-party links provided on this website.<\/span><\/p>

10.4 <\/b>These Website Terms may be modified at any time without notice. Continued use of the site constitutes acceptance of the updated terms.<\/span><\/p>
